1. Acceptance of Terms

By accessing or using the SayWhen application ("Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

These Terms form a legally binding agreement between you and BluBlu Tech ("BluBlu Tech," "we," "us," or "our").

2. Eligibility

You must be at least 13 years old to use the Service. If you are between 13 and the age of majority in your jurisdiction, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

If you are a resident of Quebec, additional protections may apply to minors under applicable law.

3. Description of Service

SayWhen is an AI-powered monitoring and notification service that allows users to track publicly available information and receive notifications when specified conditions are met.

Service performance may vary due to third-party website changes, access restrictions, anti-bot controls, network failures, or AI interpretation limits.

The Service has usage limits based on your subscription tier. Free users have limited one-time quotas, while Pro subscribers receive monthly refreshing quotas. We reserve the right to modify these limits with notice.

We do not guarantee uninterrupted task execution, notification delivery timing, or successful retrieval from any specific third-party source.

7. Subscriptions and Payments

SayWhen Pro is available as a monthly subscription at $4.99/month, billed through the relevant app marketplace (for example, Apple App Store or Google Play) when available on your device.

Automatic Renewal: Your subscription will automatically renew each month at the then-current price ($4.99/month) unless you cancel at least 24 hours before the end of the current billing period. Your App Store account will be charged for renewal within 24 hours prior to the end of the current period.

How to Cancel: You may cancel your subscription at any time through your app marketplace subscription settings. Cancellation takes effect at the end of the current billing period; you will retain access to Pro features until then.

Refunds are handled according to the policies of the marketplace through which you purchased your subscription, except where required otherwise by applicable law. We may change subscription pricing in the future where permitted by applicable law and platform rules.

8. AI-Generated Content

SayWhen uses AI to analyze requests and generate summaries. While we strive for accuracy:

High-Risk Use Prohibition: The Service is not intended for high-risk activities or decisions where errors could lead to death, personal injury, property damage, legal exposure, or significant financial loss. This includes, for example, medical diagnosis or treatment, legal strategy, investment or trading decisions, emergency response, and critical infrastructure operations.

9. Third-Party Website Access and Services

Your monitoring requests may cause our systems to access third-party websites on your behalf. You are solely responsible for ensuring your requests and use of results comply with applicable laws and those websites' terms.

We are not responsible for any restrictions, blocking, delays, inaccuracies, or failures caused by third-party sites, service providers, or network conditions.

10. Intellectual Property

The SayWhen application, including its design, features, and content, is owned by BluBlu Tech. You retain ownership of the content you create (monitoring tasks), but grant us a license to use it to provide the Service.

If you submit feedback or suggestions, you grant us a non-exclusive, worldwide, royalty-free license to use that feedback for product improvement without compensation to you.

11. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

12. Termination

We reserve the right to suspend or terminate your account if you violate these Terms. You may delete your account at any time through the app settings.

Upon termination, your right to access the Service ends immediately. Any accrued payment obligations remain due. Provisions that by their nature should survive termination (including limitations of liability, dispute resolution, and intellectual property terms) will survive.

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLUBLU TECH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

15. Indemnification

To the maximum extent permitted by law, you agree to indemnify and hold harmless BluBlu Tech and its affiliates, officers, employees, and agents from claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your misuse of the Service, your content, or your violation of these Terms or applicable law.

16. Changes to Terms

We may modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the new Terms. We will notify users of significant changes.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles.

18. Dispute Resolution

Informal Resolution First: Before filing arbitration or court proceedings, you and BluBlu Tech agree to first attempt to resolve disputes informally by providing written notice to the other party and allowing at least 30 days to attempt resolution.

Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration administered by a mutually agreed-upon arbitrator in California, in accordance with the rules of the American Arbitration Association (AAA). The arbitration shall be conducted in English.

Arbitration Opt-Out: You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing support@saywhenapp.com with your account email and a clear statement that you are opting out of arbitration.

Class Action Waiver: You agree that any arbitration or proceeding shall be limited to the dispute between us individually. To the fullest extent permitted by law: (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any dispute to be arbitrated on a class-action basis; and (c) there is no right or authority for any dispute to be brought in a purported representative capacity.

Exception: Either party may bring an individual action in small claims court for disputes within the court's jurisdiction.

Canadian Users: If you reside in a Canadian province where mandatory arbitration clauses in consumer contracts are prohibited or restricted by law (including Ontario or Quebec), the arbitration and class action waiver provisions above apply only to the extent permitted by applicable law. In such cases, disputes may be resolved in the courts of your province of residence, and you retain all non-waivable rights granted under applicable provincial consumer protection legislation.

You agree to comply with all applicable export control and sanctions laws of the United States and other applicable jurisdictions. You may not use the Service if you are prohibited from receiving U.S.-origin services under applicable law.

20. Additional Mobile App Terms

Your use of the mobile app is also subject to the terms, conditions, and policies of the platform from which you downloaded it (including Apple App Store and/or Google Play), to the extent applicable.

By using the app, you consent to receive push notifications related to your account and monitoring tasks. You can disable notifications in your device settings, but some Service functionality may be limited.

21. Language (Quebec/Canada)

These Terms are provided in English. If you are a resident of Quebec, you may request a French version by contacting support@saywhenapp.com. Where required by applicable law, your consent and language rights will be handled in accordance with such law.
